Kitchener Rangers Hockey Club announce Special Meeting of Kitchener Rangers Member Subscribers

On Monday May 6th, 2024 the Board of Directors of the Kitchener Rangers Hockey Club approved a historic motion retiring the current (By-Law 2012-1) and governance structure of the organization. The new By-Law 2023-1 is compliant with the new Not-for-Profit Corporations Act 2010 ("ONCA"), and enhances the organization's governance that reflects a best practice structure that will protect the Rangers as a community owned Not-for-Profit moving forward.

A motion to retire the standing By-Law was approved by a vote of 30 Directors in favour, 1 Director opposed, 1 Director wishing to postpone. The vote was unanimously supported by 9 Past Presidents of the organization.

Outside consultation was provided to assist with the development of the new, modern governance structure. These legal advisors and Not-for-Profit governance experts were instrumental in building a new framework to support the best interests of the organization.

With respect to the original intent of the governance structure, Rangers Chair Jeff Emrich consulted senior family members of late Rangers founder, Eugene George, who offered their support of the proposed changes.

Subscribers (members) are encouraged to attend the Special meeting on Monday June 10th, 2024 to ratify the Board and Past Presidents' decision.

A message from Board Chair & Alternate Governor Jeff Emrich:

"It is the fiduciary duty of the Board to protect the organization and enhance our governance structure to modern best practice standards.

Our long-standing Board structure and size came from a time and place that required tremendous labour and promotion to support the organization, for which we owe a sincere debt of gratitude to everyone who has served the club.

Today's challenges and pressures demand a modern governance structure that will enhance the Board's ability to recruit the most suitable Directors to oversee our community owned club.

I encourage all subscribers to review the pre-read package of the Board approved changes and come support the future of your hockey club on June 10th."
